FAIRNESS OPINIONS

We provide Fairness Opinions under FINRA Rule 5150 which relates to M&A transactions between affiliated entities wherein conflicts of interest could arise between related parties.

SPECIAL PURPOSE ACQUISITION COMPANIES (SPACs)

We have hands-on experience setting up and completing the 1st SPAC focused on the Andean Region.  A SPAC is a newly formed corporation by a prominent and qualified sponsor/management team for the purpose of raising capital in an IPO in anticipation of identifying and consummating a business combination.

Stormy Byorum, Managing Director, Investment Banking, Stormy has 30+ years experience in Latin America investment banking, including senior executive and board roles at Andina Acquisition (the 1st Latin America related SPAC), Stephens & Co., TCW/Latin America Private Equity Partners, Violy, Byorum Partners and Citicorp.  She is on the boards of Technoglass S.A. and NW Natural Gas.  Stormy has a BBA from Southern Methodist University, and an MBA from University of Pennsylvania.  FINRA licenses 7, 24, 63.

Julio Márquez, Managing Director, Investment Banking, Julio has 25+ years of experience in private equity and investment banking.  He was Managing Director at Global Emerging Markets Group, where he was the Head for Latin America Private Equity, and also Consultant for Latin America M&A. He completed a dozen transactions valued at close to US$1 billion in several countries, including Mexico, Peru, Ecuador, Caribbean region, Central America and Brazil. Julio held senior roles at Gottbetter Capital Markets, Violy, Byorum & Partners, Prudential Securities, Wasserstein Perella, Citibank and Morgan Stanley.  Julio received an MBA from Harvard Business School, an MS in Systems Engineering with honors from the University of Pennsylvania, and a BS in Civil Engineering with honors from the Massachusetts Institute of Technology.  He is also an Adjunct Professor at the New York School of Finance.  He is on the board of Wyndham Global Partners, a private equity group.  FINRA licenses 7, 24, 27, 63, 82, 99.

Stanley Tobin, CIMA, SVP, Investment Banking, Stan has 30+ years financial services experience with $1B+ of hedge fund capital raising and business development experience at Golub Capital, Institutional Credit Partners, Guggenheim Partners & DB/Alex Brown.  He has extensive transactional experience with Latin America based companies, family offices and investors.  Stan received a BS in Marketing from Lehigh University, and is proficient in Spanish.  FINRA licenses 7, 63. 

Peter Formanek, CPA, Managing Principal, Peter has 30+ years of experience advising fund managers, family offices and companies. He was a Financial Analyst at Donaldson, Lufkin & Jenrette, and Spear, Leeds & Kellogg.  Peter has 10+ years experience advising Southern Cross Group, one of the largest Latin America focused private equity funds.  While with SCG Peter initiated a $220M control investment into Ultrapetrol (ULTR).  This transaction was awarded the Marine Money private equity deal of the year in 2012.  Peter has a BS in Accounting, and an MBA in Finance from the University of Bridgeport.  FINRA licenses 7, 24, 28, 63, 79, 99.

Daniel Williams, Investment Banking Associate, Dan’s prior experience includes finance and research roles at Coca-Cola-China, Avison Young and Travelpro.  Dan holds a BS in Investment Management with honors from Lynn University.  He is fluent in Spanish, having lived in the Dominican Republic for many years, and conversant in Mandarin.  Daniel lives and works in Miami, Florida, and is currently studying for FINRA Series 7 license.

Mauricio Orellana, Senior Advisor, Mauricio’s prior experience includes senior roles at Stephens Cori Investment Advisors, TCW/Latin America Private Equity Partners, Emerging Markets Partnership, Inter-American Investment Corporation/IADB, Banque Paribas’ Latin America Commodity Group, Keisai Associados-Venezuela and Grupo Asincro-Venezuela.  He is fluent in Spanish, English, Protuguese and French.  Mauricio has an MBA in Finance from IESA-Venezuela, and a BS in Electrical Engineering from Universidad Central de Venezuela.
