YAC is dedicated to serving the unique needs of lower-middle market clients, that is companies with enterprise values between $5.0 and $150.0 million dollars and/or those companies seeking $3.0 million to $100.0 million in capital.
Within this market, YAC seeks companies unable to finance the growing demand for their products or services from existing cash flow, companies seeking to expand through acquisitions and strategic alliances and companies seeking liquidity for long term shareholders.

Our professionals have extensive experience in the placement of private and public equity and debt to both retail and institutional clients. Capital is typically deployed to finance working capital, provide liquidity to shareholders, and stabilize the capital structure.

CAPITAL RAISING: PRIVATE EQUITY, VC, RE AND HEDGE FUNDS

Our professionals have extensive experience in the formation and capital raising for alternative investment fund managers for both dedicated blind-pool funds and special purpose vehicles (SPVs).

Our team has extensive experience providing buy-side and sell-side advisory services to companies in the Caribbean, Latin America and the USA. We have been integrally involved with dozens of cross-border investments, company sales, and acquisitions. We serve as advisors to various boards on strategic options, especially concerning solutions that will minimize potential losses and provide a suitable recovery structure for the client. We possess financial and strategic experience specific to companies and funds focused on the Caribbean and LatAm region. Services include balance sheet restructurings and tax strategies, in-court and out-of-court restructurings, bondholder negotiations, and claims trading issues.

FAIRNESS OPINIONS

We provide fairness opinions under FINRA Rule 5150, which relates to M&A transactions between affiliated entities wherein conflicts of interest could arise between related parties.

SPECIAL PURPOSE ACQUISITION COMPANIES (SPACs)

We have hands-on experience setting up and completing the 1^st SPAC focused on the Andean Region. A SPAC is a newly formed corporation by a prominent and qualified sponsor/management team for the purpose of raising capital in an IPO in anticipation of identifying and consummating a business combination.
